1. Acceptance of Terms

These Terms & Conditions govern your access to and use of Marketing Studio, a product operated by Loubenita Ltd ("we", "us", "our"). By requesting access, accepting an invite, or using the service, you agree to these terms. If you do not agree, you may not use the service.

2. Eligibility & Invite Access

Marketing Studio is currently offered on an invite-only basis. You must be at least 18 years old and able to form a binding contract to use it. Invites are personal to you and may not be transferred. We may grant, limit, or revoke access at our discretion as we onboard users gradually.

3. The Service

Marketing Studio helps you generate marketing copy and imagery from a brief, review it as drafts, and publish it to connected social platforms. The service is provided on an evolving basis; features may be added, changed, or removed. Nothing publishes without an action or schedule you have approved.

4. Your Content & Licence

You retain ownership of the briefs you provide and the content generated in your workspace. You grant us a limited licence to host, process and transmit that content solely to operate the service on your behalf - including sending it to the AI providers and social platforms you connect. You are responsible for ensuring you hold the rights to anything you upload or publish.

5. Acceptable Use

You agree not to:

• Generate or publish unlawful, defamatory, hateful, deceptive or infringing content.
• Impersonate any person or brand, or publish to accounts you are not authorised to manage.
• Attempt to access, disrupt or reverse-engineer the service or its underlying systems.
• Resell or expose the service to third parties without our written permission.

We may remove content or suspend access that breaches this policy, the platforms' rules, or applicable law.

6. Connected Platforms & Third-Party Services

When you connect LinkedIn, Instagram or Threads, your use of those platforms remains subject to their own terms. You are responsible for complying with each platform's policies. We are not liable for changes to, or the availability of, third-party APIs, and connections may break if a platform changes or revokes access.

7. AI-Generated Content

Content is produced by third-party AI models and may be inaccurate, biased, or unintentionally similar to existing material. You are responsible for reviewing every draft before it is published and for ensuring it is accurate, lawful and appropriate for your audience. Drafts are held for your approval precisely so this review can happen.

8. Model Provider Keys & Costs

Marketing Studio runs on a bring-your-own-key model. You connect your own AI provider keys and pay those providers directly for usage; we never mark this up. We meter runs to give you a live cost estimate, but you are solely responsible for the charges incurred on your provider accounts.

9. Intellectual Property

The Marketing Studio software, brand, and interface are owned by Loubenita Ltd and protected by applicable laws. These terms grant you no right to use our trademarks or to copy, modify or distribute the service except as expressly permitted.

10. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that generated content will be accurate, original, or fit for a particular purpose. Use of the service is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, Loubenita Ltd will not be liable for any indirect, incidental or consequential loss, or for loss of profits, data, or goodwill, arising from your use of the service or from content generated or published through it. Nothing in these terms excludes liability that cannot be excluded under applicable law.

12. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate access if you breach these terms, if required by law, or if we discontinue the service. On termination, your right to use the service ends and connected platform tokens are revoked.

13. Governing Law & Contact

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Questions about these terms can be sent to support@loubenita.com.
